Terms of Service

Effective date: October 6, 2026

The Simplified Chinese version of this document is the governing version. Other language versions are translations; in case of any inconsistency, the Simplified Chinese version prevails.

1. Agreement and acceptance

Welcome to Flova. These Terms of Service (the “Terms”) are an agreement between you and the operator of Flova (fvz.ai) (“Flova”, “we” or “us”). They apply to your access to the fvz.ai website and to all services provided by Flova (the “Service”).

By registering, signing in (including with a Google account or a 海云星 ERP account), accepting an organization invitation or otherwise using the Service, you confirm that you have read, understood and agree to be bound by these Terms. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to do so, and these Terms also bind that organization. If you do not agree to these Terms, do not use the Service.

The Privacy Policy and the Points Purchase Terms form an integral part of these Terms. Please pay particular attention to the provisions that exclude or limit our liability, the provisions that restrict your rights, the rule that points are generally non-refundable, and the governing law and dispute resolution provisions.

2. The Service

Flova is an AI creative tool for cross-border e-commerce brands. You can upload product images and describe what you need, and AI generates marketing image sets, Amazon A+ detail pages, single-image edits, product videos and similar content. You manage projects, brand assets and model assets in a workspace that combines a canvas with a chat.

Some capabilities of the Service are provided by third-party AI model providers. As our business and technology develop, we may add, adjust, upgrade or discontinue features, models or ways of providing the Service, and we will inform you to a reasonable extent through website announcements or other appropriate means.

3. Registration and account security

You can register for the Service with an email address and password, a Google account, a 海云星 ERP account or an organization invitation. You must provide true, accurate and valid information and keep it up to date. If you register with an email address, you may need to verify it before you can sign in.

We may review registration requests, and we may refuse a registration, or restrict or suspend an account, if the registration information is untrue, there is a risk of abuse or these Terms are violated. Each email address can be used for only one account, and each account belongs to only one organization.

You must keep your account and password secure and must not transfer, rent, lend or share your account. Actions taken through your account are deemed to be your own. If you discover unauthorized use of your account or a security vulnerability, contact us immediately.

4. Organizations and members

The Service organizes data by organization. When you register on your own, an organization is created for you and you become its owner. Users who join an existing organization through an invitation or by other means are members of that organization.

The owner of an organization can invite and remove members, purchase points for the organization, and view all projects in the organization; members can see only the projects they created themselves. Brand assets and model assets are shared within the organization: all members can view and use them, but members can edit only the items they created. Projects, brand assets, generated content and points belong to the organization. A member who is removed can no longer access the organization's content.

The owner of an organization must ensure that its members comply with these Terms and is responsible for what members do through the Service.

5. Your content

“Your content” means the product images, photos of people or models, videos, brand assets, text, prompts and other material that you upload, enter or submit to the Service. You warrant that you own or have obtained all necessary rights to your content, including copyright, trademark rights and the portrait rights of any person depicted, and that your content and its use do not violate any law or infringe the lawful rights of any third party.

To provide the Service to you, you grant us a worldwide, non-exclusive, royalty-free license to store, copy, process and transmit your content to the extent necessary to provide the Service, including sending it to the AI model providers used to complete your requests and displaying it to authorized members of your organization. This license ends when you delete the content concerned or close your account, except for any part that we must retain by law or that is already in backups.

You or the original rights holders keep the intellectual property rights in your content. We do not use your content to train AI models and we do not sell your content. Third-party model providers process the data they receive to complete your requests under their own terms of service.

6. AI-generated content

Images, text and videos generated by AI (“generated content”) are produced automatically by models and may be inaccurate, incomplete, inconsistent with the actual product, similar to content generated for others, or different from what you expected. We do not guarantee the accuracy or uniqueness of generated content or its fitness for any particular purpose.

Before you use generated content in product listings, advertising or any other public context, you must review it yourself to make sure it truthfully represents the product and complies with applicable laws and regulations and with the rules of sales channels such as Amazon, Mercado Libre and Noon. You are responsible for any consequences of using generated content.

To the extent permitted by law, the rights in generated content belong to you or your organization, and we claim no rights in it. However, whether generated content is protected by copyright or other laws depends on the applicable law, and we give no guarantee on this. Where required by law, we may add visible or invisible labels identifying content as AI-generated, and you must not remove, alter or conceal such labels.

7. Acceptable use

You must not use the Service to do any of the following, or help anyone else do so:

(1) upload, generate or distribute unlawful content, including pornographic, violent, terrorist or gambling content, inappropriate content involving minors, or content that incites hatred or discrimination;

(2) infringe the intellectual property or other lawful rights of others, including imitating another party's brand or trademark, misappropriating another party's product images, or using another person's likeness without authorization;

(3) generate content using the likeness of a real person without that person's consent, or create deepfakes that could mislead the public;

(4) generate or publish false, exaggerated or misleading product claims, or use the Service for fraud, phishing or other illegal activities;

(5) interfere with or disrupt the Service, including attacking our systems, distributing malicious code, circumventing security measures or point and usage limits, or exploiting system vulnerabilities;

(6) register accounts in bulk, access the Service by crawlers or other automated means without permission, or reverse engineer or decompile the Service;

(7) resell or sublicense the Service or accounts, or make the Service available to third parties through interfaces or similar means, without our written consent.

If you violate these rules, we may, depending on the circumstances, remove the content concerned, restrict features, or suspend or terminate your account, and we reserve the right to pursue legal liability.

8. Points and fees

Generation features of the Service are charged in points. The number of points consumed by different models, image sizes, video lengths and so on is as shown in the product, and points are deducted when a task is accepted. The rules for purchasing points, their validity period, the order in which they are used and refunds are set out in the Points Purchase Terms.

We may change the number of points a feature consumes. We will announce changes on the website before they take effect, and changes do not affect charges already completed. We may also grant free points from time to time; the amount, validity period and conditions of granted points are as stated when they are granted.

9. Third-party services

The Service integrates third-party services, including sign-in with Google and 海云星 ERP accounts, AI model services, payment services, and reading public Amazon product pages in the ASIN feature. When you use these services, you may also be subject to the terms of the third parties concerned.

Interruptions, changes, restrictions or errors of third-party services are beyond our control. If they make part of the Service unavailable, we will make reasonable efforts to restore it or provide an alternative, but we are not liable to compensate you for any resulting losses.

10. Changes, interruptions and data storage

We strive to keep the Service running reliably, but the Service may be interrupted or delayed, or generation may fail, because of maintenance, upgrades, network failures, problems with upstream model services, force majeure or other causes. For tasks that fail, the system automatically returns the points charged. For tasks that are reclaimed by the system after timing out, or that you cancel, points are not returned because upstream processing has already started.

The Service is not a dedicated file storage service. Please download and back up important generated content and materials promptly. To the maximum extent permitted by law, we are not liable to compensate you for any losses caused by service interruptions, failed generations or data loss.

11. Intellectual property

The intellectual property rights in the software, website, interface design, text, trademarks and logos of the Service belong to Flova or the relevant rights holders. Except for the rights of use expressly granted in these Terms, you may not copy, modify, distribute or otherwise use them.

12. Suspension and termination

You may stop using the Service at any time and request closure of your account by writing to [email protected]. Before requesting closure, the owner of an organization should deal appropriately with the organization's members, content and remaining points.

If you violate these Terms or applicable law, or your account poses a security risk, we may suspend or stop providing all or part of the Service to you. If your account is terminated because of your breach, unused points are not refunded, unless the law provides otherwise.

After these Terms end, we will handle your personal information in accordance with the Privacy Policy. Provisions that by their nature should survive termination, including those on intellectual property, limitation of liability, indemnification and dispute resolution, remain in effect.

13. Disclaimers and limitation of liability

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we make no express or implied warranty that the Service will be uninterrupted or error-free, or that generated content will meet your specific needs.

To the maximum extent permitted by law, we are not liable to compensate you for any direct or indirect losses you suffer from using or being unable to use the Service, including loss of profits, loss of goodwill, loss of data or penalties imposed on you by sales channels. If a generation task fails, we only return the points charged for that task in accordance with the Points Purchase Terms and provide no other compensation.

These limitations do not apply to losses caused by our intentional misconduct or gross negligence, and they do not exclude any liability that cannot be excluded or limited by law.

14. Indemnification

If your content, your use of generated content or your breach of these Terms results in a claim or complaint by a third party against us, or in an administrative penalty against us, you are responsible for dealing with it and must compensate us for the resulting losses, including reasonable legal fees.

15. Changes to these Terms

We may amend these Terms because of changes in laws and regulations or business needs. The amended version will be published on this page with an updated effective date. For changes that materially affect your rights and obligations, we will notify you in advance through an in-product notice, email or other appropriate means. If you continue to use the Service after the changes take effect, you are deemed to accept the amended Terms; if you do not agree, please stop using the Service.

16. Governing law, disputes and miscellaneous

The formation, validity, interpretation and performance of these Terms are governed by the laws of the place where the operator of Flova is located. The parties will first try to resolve any dispute arising from these Terms amicably through negotiation; if negotiation fails, either party may bring a lawsuit before a court of competent jurisdiction.

These Terms are written in Simplified Chinese, and translations into other languages are provided. In case of any inconsistency between language versions, the Simplified Chinese version prevails. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.

If you have any questions about these Terms, please contact [email protected].
